1. Acceptance of Terms
By accessing, registering for, or using the Platform, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you must not use the Platform.
2. Definitions
User / You: Any individual or entity accessing or using the Platform.
Members / Dealers: Registered business users who post listings, requests, or content.
Transactions: Any communication, negotiation, agreement, payment, shipment, or business dealing between Users.
Content: Listings, offers, images, messages, data, or any material posted by Users.
3. Nature of the Platform
Cell Dealers operates solely as a business-to-business marketplace and professional community for wholesale mobile device trading.
- We are not a buyer, seller, broker, agent, distributor, or party to any Transaction.
- We do not own, inspect, verify, test, store, or deliver any products listed on the Platform.
- Any Transaction is strictly between Users, who bear full responsibility for their dealings.
4. Eligibility and Accounts
- You must be at least 18 years old and legally capable of entering binding agreements.
- The Platform is intended for business users such as wholesalers, dealers, distributors, and industry professionals.
- You agree that you are not subject to U.S. sanctions or listed on any restricted or prohibited trade lists, including but not limited to OFAC or SDN lists.
- You are responsible for maintaining accurate account information and safeguarding login credentials. All activity under your account is your responsibility.
5. Identity Attestation and Document Badge
Cell Dealers may provide account badges or identity attestation features.
- Such badges indicate only that certain documents or licenses were submitted.
- Identity Attestation or Document Badges do not constitute endorsement, vetting, certification, financial guarantee, or assurance of future performance.
- Users must conduct independent due diligence before entering into any Transaction.
6. Memberships, Fees, and Billing
- Certain features may require paid memberships or promotional upgrades.
- All fees are non-refundable unless explicitly stated otherwise.
- Subscriptions may renew automatically where applicable. By subscribing, you authorize recurring billing according to the selected plan.
- We reserve the right to modify pricing, packages, or features at any time with reasonable notice.
7. Listings, Devices, and Trade Standards
By posting any listing or Content, you represent and warrant that:
- All devices have clean IMEI/Serial numbers and are not reported lost, stolen, financed, blacklisted, or subject to iCloud Lock, MDM Lock, carrier lock, KNOX, or similar restrictions unless clearly disclosed.
- Devices comply with applicable laws and regulatory standards.
- Wholesale grading terms (such as Grade A, B, or C) are subjective and determined solely by Users. Cell Dealers does not provide or enforce a universal grading standard.
- Cell Dealers is not responsible for disputes regarding cosmetic condition, battery health, or functional grading.
8. Prohibited Conduct
Users may not use the Platform to:
- Offer stolen, counterfeit, illegal, restricted, or export-controlled goods.
- Manipulate IMEI numbers or list devices that violate intellectual property or regulatory standards.
- Engage in fraud, impersonation, deceptive practices, or money laundering.
- Upload malware, attempt unauthorized access, or disrupt the Platform.
- Scrape, copy, or harvest data or contacts from the Platform.
- Use the Platform to bypass or undermine Platform policies or ecosystem integrity.
We may remove Content or suspend accounts at our sole discretion.
9. Payments, Shipping, Taxes, and International Trade
All payments, logistics, customs clearance, duties, taxes, export compliance, and contractual terms are solely between Users.
Users are responsible for complying with all applicable import/export laws, sanctions regulations, and international trade requirements.
10. Assumption of Risk
You acknowledge that wholesale device trading involves inherent risks, including fraud, shipping delays, customs seizures, and grading disputes.
You are solely responsible for verifying counterparties, products, and contractual terms before completing any Transaction.
11. Anti-Circumvention
Users may not use the Platform primarily to harvest contact information or circumvent Platform systems, policies, or ecosystem protections. Activities intended to undermine the Platform's business model or integrity may result in suspension or termination.
12. Third-Party Services
The Platform may contain links or integrations with third-party services. We are not responsible for their content, performance, or policies.
13. Intellectual Property and Content License
- All Platform design, trademarks, software, and database structures are owned by or licensed to Cell Dealers.
- By submitting Content, you grant Cell Dealers a worldwide, non-exclusive, royalty-free license to use, display, and distribute such Content for operation and promotion of the Platform.
14. Content Removal and DMCA Compliance
- We may remove or restrict Content or accounts at any time if we believe they violate these Terms or applicable law.
- If you believe content infringes your intellectual property rights, you may submit a notice to [email protected].
15. Disclaimer of Warranties
The Platform is provided "as is" and "as available," without warranties of any kind, whether express or implied, including accuracy, reliability, or fitness for a particular purpose.
16. Limitation of Liability
To the maximum extent permitted by law, Cell Dealers shall not be liable for any indirect, incidental, consequential, or punitive damages arising from use of the Platform or any Transactions between Users, including but not limited to:
- lost profits or failed trades,
- shipping delays or customs seizures,
- battery health or cosmetic grading disputes,
- hardware defects discovered after delivery,
- inaccuracies in user-provided information.
In all cases, the maximum total liability of Cell Dealers shall be limited to the greater of:
(a) the total amount paid by you for your last active membership package prior to the event, or
(b) USD $100.
17. Indemnification
You agree to indemnify, defend, and hold harmless Cell Dealers and its affiliates from any claims, damages, liabilities, or expenses arising from your use of the Platform, your Content, or your violation of these Terms or applicable laws.
18. User Disputes
Disputes between Users are solely their responsibility. Cell Dealers is not obligated to investigate, mediate, or resolve disputes.
19. Governing Law and Arbitration
These Terms are governed by the laws of the State of Texas and applicable U.S. federal law.
Any dispute relating to the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in Dallas County, Texas, conducted in English, except where small claims court jurisdiction applies.
20. Export Compliance
Users agree not to use the Platform in violation of U.S. export control laws, sanctions regulations, or international trade restrictions, including transactions involving restricted countries or sanctioned individuals or entities.
21. Force Majeure
Cell Dealers shall not be liable for delays or failures caused by events beyond reasonable control, including natural disasters, cyberattacks, governmental actions, labor disputes, or interruptions of internet or infrastructure services.
22. Time Limitation on Claims
Any claim against Cell Dealers must be brought within one (1) year from the date the cause of action arose, or it will be permanently barred.
23. Communications
Official communications may be sent via registered email or Platform notifications.

24. General Provisions
- If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
- Our failure to enforce any right does not constitute a waiver.
- We may update these Terms with notice via the Platform; continued use constitutes acceptance.
- These Terms may be assigned or transferred by Cell Dealers without prior notice.
